K výrazným změnám dochází v účasti na pojištění statutárních orgánů a členů statutárních orgánů. Budou účastni nemocenského a tím i důchodového pojištění za nových podmínek. A jak to bude s jejich nemocenskou?

Nemocenského pojištění budou při splnění podmínek stanovených zákonem účastni od 1. 1. 2012 též společníci a jednatelé společnosti s ručením omezeným, komanditisté komanditních společností a členové družstev, jestliže mimo pracovněprávní vztah vykonávají práci pro tuto společnost a jsou za tuto práci odměňováni. Upozorňujeme, že dosud byly tyto osoby účastny důchodového pojištění v případě dosažení hranice 6200 korun. Pro zdravotní pojištění žádná hranice stanovena není. Zdravotní pojištění platí vždy. Jak pro server Podnikatel.cz upřesnila Jana Buraňová z oddělění komunikace ČSSZ, jednou z podmínek účasti na nemocenském pojištění je sjednaná částka započitatelného příjmu za kalendářní měsíc, která činí aspoň částku rozhodnou pro účast na pojištění. Tato částka bude pro rok 2012 činit 2500 korun. Pokud by sjednaná částka započitatelného příjmu byla nižší než rozhodný příjem nebo by započitatelný příjem nebyl sjednán vůbec, pak by se v takovém případě jednalo o zaměstnání malého rozsahu. Při výkonu zaměstnáním malého rozsahu je zaměstnanec pojištěn jen v těch kalendářních měsících po dobu trvání takového zaměstnání, v nichž dosáhl částky započitatelného příjmu aspoň ve výši rozhodného příjmu, dodala Buraňová.

Zajímalo nás, jak to bude v případě, kdy například společník či jednatel, v měsíci ve kterém mu bude zúčtována odměna vyšší než 2500 korun, onemocní. Jana Buraňová vysvětlila, že podle nové právní úpravy plní u společníků a jednatelů společnosti s ručením omezeným úkoly zaměstnavatele pro účely provádění jejich nemocenského pojištění tato společnost. Doklady potřebné pro výplatu dávek nemocenského pojištění, tj. tiskopisy neschopenky, budou společníci a jednatelé překládat zde. Nemocenské se samozřejmě poskytuje v případě nemoci nebo karantény delší než 21 kalendářních dní. Náhrada mzdy (odměny) v období prvních 21 dnů nemoci se poskytuje v souladu se zákoníkem práce zaměstnancům s uzavřeným pracovním poměrem. Na společníky a jednatele se nevztahuje.

Další skupinou, kde dochází od roku 2012 k výrazným změnám jsou členové dozorčích rad. Na tyto se vztahují specifické podmínky. V roce 2011 podléhají odměny členů dozorčí rady zálohové dani a odvodům zdravotního pojištění. Srážková daň se v tomto případě nepoužije (ani při nepodepsaném prohlášení a příjmu do 5000 korun). Základem daně je superhrubá mzda (odměna + 9 % zdravotní pojištění). So­ciální pojištění se z odměn členů dozorčí rady neodvádí. Od roku 2012 však bude nemocensky (a tím i důchodově) pojištěn rovněž člen dozorčí rady, bude-li mu vyplacena odměna převyšující 2500 korun. Toto se týká odměn členů statutárních orgánů, tedy členů správních a dozorčích rad právnických osob, členů statutárních orgánů akciové společnosti a výborů společenství vlastníků.
